Sum Buddy Terms of Service

Welcome to Sum Buddy! These Terms of Service ("Terms") govern your access to and use of the Sum Buddy web application, including our website, software, and integrated AI agent (collectively, the "Service"). The Service is provided by Sum Buddy ("we," "us," or "our").

By creating an account, or by accessing or using the Service in any way, you agree to be bound by these Terms and our Privacy Policy, which can be found at https://sumbuddy.net/privacy.html and is incorporated herein by reference.

1. User Accounts and Access

a. Eligibility: You must be at least 13 years of age to use the Service. By agreeing to these Terms, you represent and warrant to us that you are at least 13 years old.

b. Service Tiers: Sum Buddy offers several levels of service:

• Free Tier: Use the spreadsheet application without an account.
• Free Tier with Login: Create an account to save your documents and access basic features.
• Paid Tiers: Paid subscriptions provide access to premium features, including increased usage limits for the AI agent and larger document storage sizes, as detailed on our pricing page at the time of your subscription.

c. Account Termination: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including but not limited to:

• Failure to pay subscription fees.
• A breach of these Terms.
• Engaging in illegal or fraudulent activities.
• Misuse of the Service, including the AI agent or other features.

2. User Data and Intellectual Property

a. Ownership of Your Data: You retain full ownership of the data, content, and information you create, upload, or store in the Service ("User Content"). We do not claim any ownership rights to your User Content.

b. License Granted to Sum Buddy: To allow us to operate and improve the Service, you grant Sum Buddy a limited, worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, and modify your User Content. This license is solely for the purposes of providing the Service to you, including displaying your data, enabling collaboration features (such as public sharing if you choose to use it), and ensuring compatibility with new features and formats.

c. AI Agent Output: You own the final output and formulas you choose to implement from suggestions made by the integrated AI agent. However, as outlined in our Privacy Policy, we reserve the right to review the logs of your interactions with the AI agent for the purposes of service improvement, safety and enforcing the terms of our agreements.

3. AI Agent Provisions

a. Third-Party Processing: To provide its functionality, our AI agent sends relevant User Content from your spreadsheets to third party large language models for processing. Your use of the AI features is subject to our Privacy Policy.

4. Acceptable Use Policy

You agree not to use the Service, including the AI agent, to:

• Generate, upload, or share any content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Attempt to reverse-engineer, decompile, or discover the source code of the Service or any of its components, including the underlying models of the AI agent.
• Intentionally bypass or disable any safety or content-filtering measures.
• Conduct any form of security testing, vulnerability scanning, or penetration testing on the Service or its infrastructure without our express prior written permission.

5. Service Disclaimers and Limitation of Liability

a. Disclaimers and Acknowledgment:

• AI ACCURACY: THE OUTPUT FROM THE AI AGENT IS GENERATED BY A MACHINE LEARNING MODEL. SUM BUDDY MAKES NO GUARANTEES AS TO ITS ACCURACY, RELIABILITY, OR SUITABILITY. THE AI CAN AND WILL MAKE MISTAKES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, AND MAKING THE FINAL DECISION ON ANY CONTENT, FORMULAS, OR SUGGESTIONS PROVIDED BY THE AI.
• NO PROFESSIONAL ADVICE: The Service is not a substitute for professional financial, legal, or other expert advice.
• "AS-IS" SERVICE: THE ENTIRE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND. WE DISCLAIM ANY LIABILITY FOR ERRORS, BUGS, OR OMISSIONS IN THE SERVICE, WHETHER RELATED TO THE AI AGENT OR ANY OTHER PART OF THE PRODUCT, THAT MAY RESULT IN ERRONEOUS CALCULATIONS OR DATA LOSS.

b. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SUM BUDDY, ITS AFFILIATES, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

6. Payments, Subscriptions, and Refunds

a. Subscriptions: Paid tiers are billed on a subscription basis as agreed to at the time of purchase. You agree to provide current and accurate payment information.

b. Price Changes: We reserve the right to change our subscription prices. We will notify you of any price changes via the email address associated with your account at least thirty (30) days before the changes take effect.

c. Refund Policy: If you are not satisfied with your paid subscription, you may request a full refund within thirty (30) days of your initial purchase.

7. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Toronto, Ontario, and the parties irrevocably consent to the personal jurisdiction and venue therein.

8. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any material changes by updating the "Last Updated" date at the top of these Terms. For users with an account, we will make a reasonable effort to provide additional notice, such as through an email to the address associated with your account or via an in-app notification.

Your continued use of the Service after any such changes become effective constitutes your acceptance of the new Terms. If you do not agree to the updated Terms, you must stop accessing and using the Service.
